Welcome to the Seraphic Skincare Wholesale Portal. These Terms of Use (“Terms” or “Agreement”) govern your access to and use of wholesale.seraphic-skincare.com (the “Website”), including all content, features, wholesale pricing, account access, and services offered through the Website.

Throughout these Terms, “Seraphic Skincare,” “Company,” “we,” “us,” and “our” refer to Seraphic Skincare, Inc. “You” and “user” refer to any individual or business accessing or using the Website.

By using this Website, applying for a wholesale account, or clicking to accept or agree to these Terms, you acknowledge that you have read, understand, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Website.

1. Eligibility & Wholesale Account Requirements

This Website is available only to users who:

Are at least 18 years old,
Are located within the United States or its territories (unless otherwise approved), and
Are legitimate businesses applying for wholesale access.

When applying for a wholesale account, you agree to provide accurate, current, and complete information, which may include:

Business name and contact information
Business address
EIN or federal tax ID
Resale certificate or seller’s permit
Business license (if applicable)
Store location(s)
Website or social channels
Any additional verification we request

We reserve the right to approve, deny, or revoke wholesale access at any time, for any reason, including:

Incomplete or unverifiable information
Suspicion of fraudulent activity
Violations of these Terms
Misalignment with our brand standards
Unauthorized resale activity
Failure to maintain compliance with local or federal regulations

You agree to promptly update any changes in ownership, address, licensing, or contact information.

2. Online Sales Restrictions

Wholesale purchasers are strictly prohibited from selling or listing Seraphic Skincare products on any online marketplace or website , including but not limited to:

Amazon
Walmart Marketplace
eBay
Etsy
TikTok Shop
Facebook Marketplace
Any personal or business e-commerce website
Any unauthorized digital storefront

You may only sell our products at the approved physical retail location(s) listed in your wholesale application unless you receive explicit written permission from the Company.

Violations may result in:

Immediate account termination
Cancellation of pending orders
Permanent prohibition from purchasing wholesale
Legal action for breach of contract
Reporting to marketplaces for violation of intellectual property rights

3. Minimum Advertised Price (MAP) Policy

Where applicable, wholesale partners must comply with the Company’s Minimum Advertised Price (MAP) guidelines. Repeated MAP violations may result in suspension or termination of wholesale privileges.

MAP documentation may be updated at any time and becomes effective upon posting or announcement.

4. Order Terms & Availability

All wholesale orders are subject to the following:

Minimum order requirements
Product availability
Current wholesale pricing at the time of purchase
Packaging or design updates
Lead times and shipping timelines
Production delays or backorders

We reserve the right to:

Cancel or modify orders
Adjust quantities
Limit availability
Refuse any order that violates our policies

All wholesale sales are final. Returns are only accepted for damaged, defective, or incorrectly shipped items, in accordance with our wholesale return procedures.

You agree not to initiate chargebacks for any wholesale purchase.

5. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to:

Immediately notify us of unauthorized access,
Log out after each session, and
Not share or transfer your account to any other person or entity.

We may disable or revoke account access at any time for security concerns or policy violations.

6. Intellectual Property

The Website and all content—including text, images, videos, designs, product descriptions, packaging, graphics, downloadable assets, and brand materials—are owned by Seraphic Skincare and are protected by U.S. and international copyright and trademark laws.

You receive a limited, revocable, non-exclusive license to use the Website for legitimate wholesale business purposes only.

Use Company assets in unapproved advertising,

Brand Asset Use:
Approved wholesale partners may use product images and marketing assets only to promote Seraphic Skincare products at approved retail locations and in accordance with our Brand Use Guidelines. Unauthorized use is strictly prohibited.

7. Prohibited Uses

You agree not to use the Website:

In violation of any federal, state, or local law,
To impersonate the Company or another user,
To scrape, crawl, or mine data,
To interfere with website functionality,
To upload malware or harmful code,
For unauthorized promotional or commercial activities, or
For fraudulent or misleading purposes.

8. Pricing, Errors & Changes

We may update pricing, product descriptions, and availability at any time without notice.

In the event of typographical errors, system errors, or incorrect pricing, we reserve the right to:

Cancel orders,
Correct errors, and
Update listings.

We are not obligated to honor pricing that is incorrect.

9. Linked Websites

Any third-party links on our Website are provided for convenience only. We are not responsible for the content, accuracy, or security of those websites.

10. Disclaimer of Warranties

14. Dispute Resolution & Arbitration

Before initiating arbitration, you agree to attempt to resolve disputes informally by contacting us at info@seraphic-skincare.com.

If informal resolution fails, disputes will be resolved by binding arbitration through the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

Arbitration will occur in San Diego County, California,
Both parties waive the right to a jury trial, and
Class actions are not permitted.

Either party may seek injunctive relief in court for intellectual property or data security matters.

15. Limitation on Claims

Any claim arising from these Terms must be filed within one (1) year of the event giving rise to the claim. After that, the claim is permanently barred.

16. Changes to These Terms

We may update these Terms at any time. Changes take effect immediately upon posting. Your continued use of the Website constitutes acceptance of updated Terms.
